Welcome to ELIT, the leading cloud-based Procure-to-Pay (P2P) solution, designed to streamline procurement processes, enhance operational efficiency, and foster seamless collaboration between suppliers and companies. By accessing and using the ELIT platform, you agree to be bound by these Terms and Conditions ("T&Cs"). These T&Cs apply under applicable UAE, Indian, and international laws, and outline the responsibilities of both suppliers and companies.
- Eligibility and Registration
- Legal Registration Requirements: Suppliers and companies using the ELIT platform must be legally registered entities under the applicable laws of their respective countries, such as the UAE or India. Both parties must ensure that they are compliant with local and international procurement regulations.
- Accuracy of Information: Users must provide accurate and up-to-date information during registration. This includes providing valid company registration details, tax identification numbers (TIN/VAT), business licenses, and any other necessary documentation as required by UAE or Indian law.
- Supplier Registration Documentation: Suppliers are required to provide certificates of company registration, tax identification numbers, VAT compliance, business licenses, and other legal documents that may be mandated by local laws for participation on the platform.
- Company Registration Documentation: Companies must submit legal entity documentation, proof of business operations, and financial information necessary for verification purposes. ELIT reserves the right to request additional information to ensure compliance.
- Right to Reject or Revoke Registration: ELIT reserves the right to reject or revoke the registration of any supplier or company if false or misleading information is provided, or if the entity fails to meet the minimum legal and operational standards.
- Compliance with Local Laws and Regulations
- General Compliance: All suppliers and companies must comply with the local laws and regulations governing procurement, tax compliance, and business practices in their respective countries (UAE or India). Both parties must also adhere to international procurement standards.
- UAE-Specific Compliance:
- VAT Compliance: Suppliers and companies operating in the UAE must adhere to the UAE VAT laws, as outlined in Federal Decree-Law No. 8 of 2017.
- Free Zone Operations: Suppliers and companies operating in UAE free zones (e.g., JAFZA, DIFC) must comply with the regulations governing those zones.
- India-Specific Compliance:
- GST Compliance: Suppliers and companies operating in India must comply with the Goods and Services Tax (GST) Act.
- MSME Act Compliance: Suppliers registered under the Micro, Small, and Medium Enterprises (MSME) Act in India must disclose their MSME status for potential preferential treatment in procurement processes.
- Governing Law and Jurisdiction
- India: For suppliers or companies based in India, the relationship will be governed by Indian law, and disputes will be subject to the jurisdiction of Indian courts.
- Other Countries: Suppliers or companies from countries outside India, including the UAE, will be governed by UAE law, with disputes to be resolved through the UAE judicial system.
- Platform Use
- Purpose of Platform: The ELIT platform is designed for facilitating procurement transactions between suppliers and companies. Users are required to use the platform solely for its intended procurement purposes, such as creating requisitions, issuing purchase orders, managing suppliers, and processing invoices.
- Supplier Responsibilities: Suppliers must ensure that their product and service listings are accurate, up-to-date, and compliant with any agreed-upon procurement terms. Suppliers are also responsible for meeting the agreed quality and delivery timelines, and any non-compliance may result in penalties.
- Company Responsibilities: Companies must ensure due diligence in their procurement processes, including conducting requisitions, approvals, and selecting suppliers in compliance with ELIT’s procurement guidelines. Companies are also responsible for ensuring that all transactions align with applicable legal and business requirements.
- Payment Terms
- Payment Obligations for Suppliers: Suppliers must comply with the payment terms agreed upon in the contract with the company. Suppliers are required to issue accurate invoices and adhere to the defined payment timelines and standards.
- Currency of Payment: Payments will be made in the currency agreed upon between the supplier and the company. By default, payments within the UAE will be processed in AED, and payments within India will be processed in INR unless otherwise specified in the contract.
- Payment Disputes: ELIT is not responsible for resolving disputes between suppliers and companies related to payment, delivery, or performance. These issues must be handled directly between the parties involved.
- Refund Policy
- Eligibility for Refunds:
- Technical Issues: If you encounter technical issues that prevent you from using the ELIT platform as intended, and our support team is unable to resolve the issue within a reasonable timeframe, you may be eligible for a refund.
- Service Discontinuation: If ELIT discontinues the Procure-to-Pay solution or a critical feature that you rely on and cannot provide a suitable alternative, you may be eligible for a refund of the unused portion of the service.
- Billing Errors: Refunds will be granted in cases where there are incorrect charges or duplicate payments.
- Non-Refundable Circumstances:
- Change of Mind: Refunds will not be issued if you decide to stop using the ELIT platform after purchase due to personal reasons.
- Lack of Usage: Refunds will not be granted if you fail to use the platform or its features after purchasing access.
- Violation of Terms: Refunds will not be provided if your account is terminated due to a violation of ELIT's T&Cs.
- Refund Request Process:
- Contact Support: To request a refund, contact ELIT’s support team at support@elit.ai with your account details and a clear description of the issue.
- Provide Documentation: Submit any relevant documentation (e.g., billing records, screenshots of technical errors) to support your request.
- Review Process: ELIT will review your refund request and may contact you for additional details if necessary. The review process may take up to 10 business days.
- Refund Decision: You will be notified of the decision regarding your refund request within 10 business days. If approved, your refund will be processed.
- Refund Processing: Refunds will be processed through the original payment method, and it may take up to 14 business days for the refunded amount to appear in your account.

- Eligibility for Refunds:
- Supplier Performance and Reviews
- Monitoring of Supplier Performance: ELIT monitors the performance of suppliers based on factors such as delivery timelines, product quality, and contractual adherence. Suppliers are rated by companies, and consistently poor ratings or non-compliance with procurement agreements may result in suspension or removal from the platform.
- Supplier Review System:Companies can rate and review suppliers on the ELIT platform based on their experience with products or services. Suppliers with poor performance records may face penalties, suspension, or removal from the platform.
- Termination and Suspension of Access
- Suspension or Termination by ELIT:ELIT reserves the right to suspend or terminate access to the platform for any supplier or company found to be in violation of these T&Cs or applicable laws. ELIT may also terminate accounts involved in fraudulent activities or providing misleading information.
- Termination by Users: Suppliers or companies may terminate their relationship with ELIT by providing written notice, provided that all outstanding payments and obligations are settled. Upon termination, access to the platform will be revoked, and all associated services will be discontinued.
- Limitation of Liability
- Disclaimer of Responsibility: ELIT is not liable for any damages, losses, or performance issues that arise from the procurement activities conducted through the platform. ELIT serves solely as a facilitator for procurement transactions and does not guarantee the quality or performance of goods or services provided by suppliers.
- Indemnification: Suppliers and companies agree to indemnify ELIT from any claims, damages, or losses arising from their use of the platform or failure to meet contractual obligations.
- Intellectual Property Rights
- Ownership of Intellectual Property: ELIT retains ownership of all intellectual property related to the platform, including software, trademarks, and proprietary information. Users may not use ELIT’s intellectual property without prior written permission.
- Restrictions on Use: Suppliers and companies are prohibited from copying, distributing, or using ELIT's intellectual property for unauthorized purposes without written consent.
- Data Privacy and Security
- Data Ownership: The customer retains ownership of all data shared on the platform. ELIT acts as a data processor and adheres to global data protection regulations, including UAE’s Federal Data Protection Law and India’s Personal Data Protection Bill.
- Data Security: ELIT employs industry-standard encryption and security protocols to protect data confidentiality and integrity. Users are responsible for ensuring the secure use of their own accounts and access credentials.
- Dispute Resolution
- India: Disputes involving suppliers or companies based in India will be governed by Indian law and resolved in the courts of India.
- Other Jurisdictions: For suppliers and companies outside India, disputes will be governed by UAE law, and parties agree to resolve disputes in UAE courts.
- Confidentiality
- Confidential Information: Suppliers and companies must keep all confidential information accessed through the platform (e.g., pricing, contracts, or business details) secure and private. This confidentiality obligation continues even after the termination of the user’s relationship with ELIT.
- Force Majeure
- Unforeseeable Events: ELIT is not liable for delays or failures in performance due to events outside its reasonable control, including natural disasters, acts of war, government actions, or internet outages.
- Marketing and Branding
- Marketing Permissions: By using the ELIT platform, companies grant ELIT permission to use their name and logo in marketing campaigns, promotional materials, and on the ELIT website, unless the company provides written notice requesting otherwise.
- Opt-Out from Marketing: Companies that wish to opt out of ELIT's marketing materials must provide a written request to ELIT, which will then confirm the opt-out in writing.
- Amendments to Terms and Conditions
- Right to Amend: ELIT reserves the right to modify these T&Cs at any time. Users will be notified of any changes, and continued use of the platform constitutes acceptance of the updated T&Cs.
- Service Availability and Support
- Service Availability: ELIT ensures continuous access to the platform for all users, except during scheduled maintenance or unforeseen outages.
- Maintenance Notifications: ELIT will provide advance notice of any scheduled maintenance activities that may temporarily affect platform availability.
- Customer Support: ELIT offers customer support via email at support@elit.ai for any technical issues, billing inquiries, or general platform assistance.
